Can an NRI or foreigner be a founder or director of an Indian startup?

A practical answer for founders incorporating or running a startup in India.

Yes, with conditions. A Private Limited company needs at least one director who is a resident in India (182+ days in the previous calendar year). An NRI can be a co-founder, shareholder, and additional director. A company with only foreign directors will not sail through MCA.

Shareholding by NRIs and foreign nationals is FDI. Most software and product startups fall under the automatic route at 100%, but you must follow FEMA pricing, reporting (including FC-GPR after allotment), and sector caps. Some sectors need approval.

KYC is heavier: passport, overseas address proof, and notarised / apostilled documents are common. DIN and DSC still apply. Talk to a CA who does FEMA before you allot shares — fixing a wrong allotment is slower than incorporating correctly.

This is educational information, not legal, tax, or FEMA advice. Confirm the current MCA, GST, and RBI position with a professional before you file.
